Terms of Service | Agent Zero

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of a business entity ("you"), and HelioNova, Inc., doing business as Agent Zero ("Company," "we," "us," or "our"), concerning your access to and use of the Agent Zero real estate AI agent platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Agent Zero provides AI-powered voice and chat agents that handle inbound and outbound communications, qualify leads, book showings, and (on eligible plans) coordinate property maintenance on behalf of subscriber businesses such as brokerages and property managers. The Service may integrate with third-party tools (calendars, messaging, CRM, telephony) that you choose to connect.

3. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract. You are responsible for safeguarding your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current.

4. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual basis through our payment processor. AI usage beyond your plan's included credits may incur overage charges as disclosed at signup and in your billing dashboard. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use the Service to:

Violate any law, regulation, or third-party right
Send communications without the consent required by the TCPA, CTIA guidelines, fair-housing laws, or other applicable law
Transmit unlawful, deceptive, harassing, or discriminatory content
Interfere with, disrupt, or attempt to gain unauthorized access to the Service
Reverse engineer or resell the Service except as expressly permitted

6. Subscriber Business Responsibilities

You are solely responsible for the content of communications sent through your account, for obtaining all required consents from your contacts (including buyers, sellers, and tenants), and for complying with fair-housing and consumer-protection laws. 7. Intellectual Property

The Service, including all software, content, and trademarks, is owned by the Company or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the data you submit.

8. AI Output Disclaimer

The Service uses artificial intelligence to generate responses and take actions. AI output may be inaccurate or incomplete. You are responsible for reviewing and supervising the AI's actions, and the Service is not a substitute for professional, legal, or real estate advice.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access for violation of these Terms or for conduct that risks harm to the Service or others. Upon termination, your right to use the Service ceases immediately.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Service after changes become effective constitutes acceptance.
